Alphabet Inc.’s Google (GOOGL) is in advanced discussions to strike a deal valued at more than $1.5 billion with San Francisco-based AI startup Mechanize, as the search giant aims to sharpen the coding capabilities of its artificial intelligence models, according to multiple people familiar with the matter.

Rather than pursuing a conventional acquisition, Google is negotiating a hybrid arrangement that would involve hiring a portion of Mechanize’s workforce and securing a non-exclusive license to the startup’s technology, the people said. The incoming talent would focus on evaluating and improving Google’s AI models, particularly in software engineering tasks. The talks are ongoing and the final structure or valuation could still shift before any agreement is signed.

The potential transaction underscores the fierce competition among technology giants to dominate AI-powered coding tools, a market that has rapidly become one of the most commercially important applications of generative AI. Rivals OpenAI and Anthropic have already captured significant mindshare among software developers with products like Codex and Claude Code, while Google has been scrambling to close the gap with its own offerings.

Mechanize’s technology could provide a critical boost by benchmarking how effectively AI systems complete complex programming tasks and pinpointing specific areas where their performance lags. The startup launched in 2025 with the sweeping ambition of eventually automating valuable work across the entire economy, though its immediate focus remains squarely on software engineering.

Earlier this year, Mechanize raised $9.1 million in a funding round that valued the company at approximately $500 million. Its investor roster includes prominent tech figures such as former GitHub CEO Nat Friedman, Stripe CEO Patrick Collison, and podcaster Dwarkesh Patel. CEO Tamay Besiroglu previously co-founded Epoch AI, an organization also dedicated to testing and analyzing AI model performance.

If completed, the Mechanize arrangement would follow a playbook Google has deployed multiple times in recent years to acquire top-tier AI talent and technology while potentially sidestepping the intense antitrust scrutiny that accompanies full-scale mergers. In a closely watched move last year, Google swept in to hire key employees and license technology from Windsurf, an AI coding startup, after OpenAI had explored an outright purchase. Windsurf CEO Varun Mohan subsequently took the helm of Antigravity, Google’s agentic coding platform.

In 2024, Google executed a similar maneuver by rehiring Character AI co-founder Noam Shazeer, a prominent AI researcher who had previously spent years at the company, and securing non-exclusive rights to use the startup’s technology. Shazeer has since departed Google again to join OpenAI.

“Our current focus is software engineering, but our long-term goal is the full automation of valuable work across the economy,” Mechanize states on its website, signaling ambitions that extend well beyond the coding domain Google is targeting in the immediate deal.

Both Google and Mechanize declined to comment on the discussions when contacted by Business Insider.

The talks arrive at a moment when AI coding assistants are reshaping software development workflows across industries. Developers increasingly rely on these tools to generate boilerplate code, debug errors, and accelerate feature delivery. For platform companies like Google, whose cloud business depends on winning over developers, falling behind in this category carries strategic risks that extend beyond any single product line.

On Wall Street, analysts remain broadly bullish on Google’s AI trajectory despite the competitive pressures. GOOGL stock carries a Strong Buy consensus rating, based on 27 Buy recommendations and five Holds assigned over the past three months. The average analyst price target stands at $424.83 per share, implying roughly 17.4% upside from current levels.
