Pennant, an AI-native platform designed to support corporate governance decisions, has closed a $5m seed round to develop what it describes as a world model for the governance of public companies.
Urban Innovation Fund led the investment, with Y Combinator also taking part. A number of strategic angel backers joined the round, among them people currently or previously connected with Marvell Technology, Legal & General, OpenAI, Kirkland & Ellis and NVIDIA.
The startup argues that while institutional investors control trillions of dollars of capital in public markets, and companies face mounting demands around governance and shareholder relations, the systems linking these groups have lagged behind. According to Pennant, research, voting and engagement still rely on scattered data, manual processes and a small number of established advisory firms, meaning governance tooling has failed to grow alongside the scale of ownership.
Proxy voting is the first area Pennant is tackling. Its platform brings together an institution’s own research, voting guidelines and historical decisions, allowing investors to apply independent judgement across large volumes of votes. Over time, the system builds up an institutional memory, becoming more effective with each vote cast and each engagement carried out.
The firm already counts US pension funds, institutional asset managers and prominent governance and legal advisers among its customers. Prior to entering Y Combinator, Pennant was chosen for the Palantir Startup Fellowship.
The founders, Ryan and Tommy, first met at Cornell around 15 years ago and started their careers side by side at BlackRock. Ryan later handled proxy voting at State Street and worked with companies on shareholder engagement at PJT Partners. Tommy, meanwhile, founded Mindware, which developed tooling and memory capabilities for enterprise agents. The pair say their experience showed them both the weight of governance decisions and the room for improvement in the tools that underpin them.
Pennant is currently recruiting for roles in New York City, seeking people interested in applying frontier AI to corporate governance.
