Centre Point decodes the Tata Group tussle, as N Chandrasekaran agrees to reconsider his decision after a request from the Tata Sons board. The board has reappointed N Chandrasekaran as Executive Chairman of Tata Sons for another five years and will initiate compliance steps under RBI guidelines. However, the move has triggered a sharp disagreement with Tata Trusts, who say Chandrasekaran’s decision to step down had already attained finality. According to Tata Trusts, Chandrasekaran informed the Tata Sons board of his exit on August 12, with his current tenure set to end on February 20, 2027. Tata Trusts have claimed that his exit decision was free, clear and could not be reversed, while Noel Tata said Chandrasekaran’s decision was his own and was not sought by the board. The tussle also centres on Tata Sons’ Articles of Association, under which both Trust nominee directors must approve the appointment of the chairman. Tata Trusts have called the reappointment resolution legally void and said the letter announcing the decision was made public without consulting them. With Tata Trusts holding roughly 66% of Tata Sons, the succession dispute has wider implications for the group. Noel Tata also said Tata Trusts have not consented to a Tata Sons listing and urged the company to explore all options before making any listing move. He argued that Tata Sons’ profits support hospitals, universities and research, and warned that a listing could alter the company’s core character.
