Shield AI to buy radar maker Echodyne for $5.3 billion, hitting $28.8 billion value

Chip stocks are sliding on Wall Street, yet a drone-autonomy company most retail investors have never heard of more than doubled its valuation by buying a radar maker outright. Shield AI is acquiring Echodyne in one of the year’s boldest defense-tech bets.

Shield AI agreed to acquire Echodyne, the Kirkland, Washington radar maker backed by Bill Gates, in a transaction valued at up to $5.3 billion, the company said on November 5. A concurrent Series H values Shield AI at $28.8 billion, up from $12.7 billion in March: a jump of more than 125% in about eight months. Shield AI will pay $4.8 billion in cash and equity at closing, with up to $500 million more tied to performance milestones. Closing is expected in early 2027. It is subject to regulatory approvals and other customary conditions.

Shield AI is also raising $2.5 billion to support the deal: a $1 billion Series H co-led by Disruptive and Innovation X Capital, $1 billion in structured equity from funds managed by Blackstone, and $500 million in debt financing led by JPMorgan Chase. The $28.8 billion post-money valuation applies to the Series H. The proceeds will principally fund the acquisition.

Echodyne isn’t a household name. Its radar has been deployed for airspace security, border protection, critical infrastructure and military applications. The company makes software-defined, metamaterials-based solid-state radar with electronically steered antennas and no moving parts, and its EchoGuard system can detect small drones at ranges of roughly one kilometre. The acquisition expands Shield AI into the C-UAS (counter-unmanned aircraft systems) market, where radar is used to detect and track drones.

Gates backed Echodyne early, participating in its initial $15 million financing in 2014 alongside Madrona. He also participated as an existing investor in a $20 million round in 2019 and co-led a $135 million raise with Baillie Gifford in 2022. Echodyne was spun out of Intellectual Ventures in 2014. Before Shield AI came calling, hundreds of customers relied on its radars for border security, critical infrastructure protection and airspace safety, according to the companies.

For Shield AI, the fit is obvious. Look at what it actually sells: its Hivemind software provides autonomy for aircraft, while its systems portfolio includes the V-BAT drone and the X-BAT vertical-takeoff autonomous fighter jet under development. Acquiring Echodyne adds radar sensing to Shield AI’s autonomy software and aircraft businesses.

A defence-AI name bucking the broader selloff

The timing lands awkwardly for the rest of the AI trade. Nvidia fell about 8% on November 5, while Meta dropped more than 3%. The Nasdaq Composite slid into correction territory, falling more than 10% from its October 6 record close, as investors reassessed spending on AI infrastructure. Chip and data-centre stocks were among the hardest hit.

Shield AI’s financing runs in the opposite direction. The company serves government customers, while Echodyne supplies radar for defence, government and commercial systems and recently received a counter-drone contract with a $250 million ceiling. The acquisition is being financed through a combination of Series H funding, structured equity and debt.

Shield AI was founded in 2015. It has expanded through acquisitions and new financing this year, and its valuation rose from $12.7 billion in March to a $28.8 billion post-money valuation for the November Series H. If the deal closes, Shield AI gains a radar maker whose products are built into hundreds of counter-drone and security systems used in more than 40 countries.
